1. About CSRTool.in

CSRTool.in ("Platform") is operated by Infopace Management Pvt. Ltd. ("we", "us"). The Platform helps companies discover and work with verified NGOs for Corporate Social Responsibility (CSR) activities, and supports proposals, MoUs, milestones, disbursement tracking, audits and reporting.

2. Acceptance

By creating an account or using the Platform, you agree to these Terms and our Privacy Policy. If you register on behalf of an organisation, you confirm that you are authorised to act for it.

3. Eligibility and Accounts

  • You must be at least 18 years old and provide accurate information, including PAN and organisation details.
  • You are responsible for keeping your login credentials confidential and for activity under your account.
  • Organisation administrators are responsible for the team members they add and the roles they assign.

4. Our Role

  • We provide a technology platform. We are not a party to agreements between corporates, NGOs, and auditors, and we do not hold, transfer, or receive CSR funds. Payments are made directly between the parties' bank accounts; the Platform only records details entered by users.
  • NGO verification is based on documents and information submitted to us and checks available at the time. We do not guarantee the accuracy, legal status, or performance of any NGO, company, or auditor. Users must carry out their own due diligence.
  • AI-generated matches, scores (including ESG alignment scores), and suggestions are decision aids, not advice or guarantees.

5. Your Compliance Responsibilities

Each user remains solely responsible for its own legal obligations, including those under Section 135 of the Companies Act, 2013 and the CSR Rules, the Income-tax Act, the Foreign Contribution (Regulation) Act where applicable, and SEBI BRSR requirements. Reports and documents generated by the Platform (such as BRSR reports, MoUs, and impact reports) are based on data you provide and must be reviewed by you before use or filing.

6. Acceptable Use

You must not:

  • upload false, forged, or misleading documents or information;
  • access or attempt to access data or accounts you are not authorised to use;
  • misuse other organisations' information;
  • interfere with the Platform's security or operation;
  • use the Platform for any unlawful purpose, including diversion or misuse of CSR funds.

7. Your Content and Third-Party Data

You keep ownership of the information and documents you upload. You grant us a limited licence to store, process, and display them as needed to operate the Platform, including sharing them with organisations you work with on the Platform (for example, an NGO's compliance documents with a company evaluating it).

If you upload personal data of other people (for example, beneficiaries appearing in field photos), you confirm that you have obtained their consent, and parental or guardian consent for anyone under 18.

8. Intellectual Property

The Platform, including its software, design, and branding, belongs to Infopace Management Pvt. Ltd. You may not copy, modify, or reverse-engineer it.

9. Fees

The Platform is currently offered free of charge. We may introduce paid plans in future; we will notify you in advance, and you may choose whether to subscribe.

10. Suspension and Termination

We may suspend or terminate accounts that breach these Terms, submit fraudulent information, or put other users at risk. You may close your account by contacting us. Some records may be retained as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

The Platform is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential losses, or for losses arising from decisions, agreements, or payments made between users. Our total liability for any claim is limited to [LIABILITY CAP].

12. Indemnity

You agree to indemnify us against claims arising from your breach of these Terms or applicable law, or from content you upload.

13. Changes to These Terms

We may update these Terms. We will notify registered users of material changes. Continued use after changes means you accept them.

14. Governing Law

These Terms are governed by the laws of India. Courts at [CITY, e.g. Bengaluru, Karnataka] have exclusive jurisdiction.
